Dariusz Bednorz
Chairman of the Supervisory Board

Appointed to the Supervisory Board of the 11th term on June 28th 2024

Manager with a proven track record in sales, purchases, finance and controlling, spanning more than two decades. His expertise covers operational improvement of business areas stimulating the organisation’s growth, driving its performance and earnings.

A graduate of the Wrocław University of Economics and Business ,he also completed Executive MBA studies at the University of Gdańsk/Gdańsk Foundation for Management Development, post-graduate Enterprise Value Management programme at the Warsaw School of Economics, and postgraduate studies in Tax Consultancy and Tax Management at the Wrocław University of Economics and Business.

From 2017 to 2022, he served on the management boards of private companies, including as President of the Management Board of ZM Silesia S.A., Boryszew Group (2020–2022).

Between 2014 and 2016: Vice President of the Management Board of Grupa Azoty ZAK S.A. in charge of sales (OXO alcohols and plasticizers), procurement and logistics.

From 2013 to 2014: Vice President of the Management Board of Kopalnie i Zakłady Chemiczne Siarki Siarkopol S.A. overseeing finance, trade and IT.

In 2012–2013: Corporate Director for Fertilizer Trade at Grupa Azoty S.A. with comprehensive responsibility for integrated fertilizer trading at the Grupa Azoty Group, including reorganisation of the fertilizer trade structure covering all companies of the Group (Tarnów, Kędzierzyn, Police), as well as development and implementation of a sales strategy.

Appointed Working Group leader on behalf of the Management Board of Grupa Azoty S.A., he was actively involved in the project to consolidate and integrate the structures and sales of nitrogen fertilizers at Grupa Azoty S.A. and Zakłady Azotowe Puławy S.A.

From 2011 to 2012: Head of the Fertilizer Centre at Grupa Azoty S.A. responsible for the integration and consolidation of fertilizer sales processes at the Grupa Azoty Group (Tarnów, Kędzierzyn).

From 2010 to 2012: Head of the Fertilizer Business Unit at Grupa Azoty ZAK S.A., managing the fertilizer business.

From 2003 to 2010, he was in charge of the controlling function at Zakłady Azotowe Kędzierzyn S.A. at the level of the OXOPLAST Business Unit.

President of the Management Board of Hotel ORW Azoty Ustka Sp. z o.o. (2001–2003).

From 1999 to 2001, he was in charge of the controlling function at Zakłady Azotowe Kędzierzyn S.A. at the level of the OXO Business Unit and the Company.

Served on the Supervisory Boards of: Hotel ORW Azoty Ustka sp. z o.o. – as Chair (2011–2012), Hotel Centralny sp. z o.o. (2007–2008), Zakład Remontowy Rekom Spółka z o.o. (2005–2006), Zakład Budowy Aparatury Sp. z o.o. (2000–2004).

Business organisations:

Vice President of the Board of the Polish Association of Plastics Processors (2015–2016).

He currently runs a business consultancy practice.

Cezary Możeński
Vice-Chairman of the Supervisory Board

Appointed to the Supervisory Board of the 11th term on June 28th 2024

Graduate of the Cracow University of Technology, Faculty of Chemical Engineering and Technology. He received his doctoral degree from the Faculty of Chemical and Process Engineering at the Warsaw University of Technology.

From 1981 to 2022, he was employed at the New Chemical Syntheses Institute in Puławy, where he advanced from the position of chemist all the way to associate professor.

He is a recognised chemical industry expert and authority on synthetic ammonia production. He also has long-standing experience in research work, specialising in the design and upgrade of technological systems for the production of synthesis gases, hydrogen, methanol, ammonia,  and decarbonisation of chemical processes. He has invented a number of innovative technology solutions sold under licences and deployed within industrial settings both in Poland and abroad. He has authored numerous scientific publications and patents. As Head of the Development and Investment Division at Zakłady Azotowe Puławy S.A. and director of the New Chemical Syntheses Institute, he has led teams involved in major investment and development projects.

His career also included many important roles at institutions associated with industry and science.

From 2008 to 2016, Cezary Możeński was a member of the Supervisory Board of Zakłady Azotowe Puławy S.A., serving as its Chair.

In 2013–2016, he was a member of the Supervisory Board of PKN Orlen S.A.

His roles over recent years included that of a member of the Scientific Board of the Institute of Chemical Engineering at the Polish Academy of Sciences, the General Council of Research Institutes, the Council of the Polish Chamber of Chemical Industry, the Chemical and Process Engineering Committee at the Polish Academy of Sciences, and the General Council of Science and Higher Education.

Paweł Bielski
Member of the Supervisory Board

Appointed to the Supervisory Board of the 11th term on June 25th 2025

Vice President of the Management Board of Grupa Azoty S.A. since 20 March 2024.

Mr Bielski has over 20 years of managerial experience in the areas of management, strategy, business development, and restructuring.

From 2016 to 2024, he served as Director of the Łukasiewicz Research Network – Prof. Ignacy Mościcki Institute of Industrial Chemistry in Warsaw, and from 2014 to 2016 as Director of the Corporate Strategy and Development Department at Grupa Azoty S.A.

Between 2009 and 2013, he held the position of Head of the Strategy and Development Division at Zakłady Azotowe Puławy S.A.

Earlier in his career, he was employed by Mennica Państwowa S.A., Mennica-Metale Szlachetne Sp. z o.o., and Endress + Hauser Polska Sp. z o.o.

He is a graduate of the Faculty of Chemical and Process Engineering at Warsaw University of Technology, where he also earned a PhD in technical sciences.

He completed postgraduate studies in Management at the Warsaw School of Economics (SGH) and the Strategic Leadership Academy programme at ICAN Institute.

Mr Bielski currently serves as Deputy Chair of the Board of the Polish Chamber of the Chemical Industry, a member of the Chemical and Process Engineering Committee of the Polish Academy of Sciences, Chair of the Board of Advisors the Łukasiewicz Research Network, and a member of the Institute Council of the Łukasiewicz Research Network – Prof. Ignacy Mościcki Institute of Industrial Chemistry.

Katarzyna Prus
Member of the Supervisory Board

Appointed to the Supervisory Board of the 11th term on May 31th 2025

  • Graduate of the Faculty of Law and Administration at the University of Warsaw (1995) and a licensed legal counsel (since 2005). In 1995–1996, she completed the Parliamentary Internship Programme at the Chancellery of the Sejm (the lower house of the Polish Parliament).

    In 2015–2016, she participated in the Economic Education Programme organised by the National School of Public Administration in cooperation with the National Bank of Poland. Throughout her professional career, she has attended numerous specialist training courses in law and areas related to the operation of commercial-law companies.

  • A long-serving employee of the Ministry of State Treasury (1996–2016) and other ministries, including the Ministry of Development and the Ministry of Development and Technology. Since October 2024, she has been employed at the Ministry of State Assets.

  • Ms Prus has extensive experience in public administration, with the majority of her career dedicated to exercising the State Treasury’s shareholder rights in commercial-law companies. She participated in the preparation and negotiation of investment agreements aimed at recapitalising companies. Acting as a proxy of the State Treasury, she exercised voting rights at general meetings and served as chairperson of such meetings. She also headed a department responsible for corporate ownership supervision over companies with State Treasury shareholding and provided legal services related to this area.

    For ten years, as a legal counsel, she represented the State Treasury in court proceedings, defending its interests in high-value cases, including acting as attorney-in-fact for the State Treasury during court hearings. At the same time, she managed a department handling litigation matters of this kind.

  • In 1998, she passed, with a positive result, the examination for candidates for supervisory board members in companies with State Treasury shareholding. Between 1997 and 2001, she delivered lectures on commercial companies law, civil law, and labour law for candidates preparing for this examination. From 2000 to 2016, she was appointed as a member of examination boards administering the examination for candidates for supervisory board members in companies with State Treasury shareholding.
  • Since 1998 (at various periods), Ms Prus has served as a member of supervisory boards of companies with State Treasury shareholding operating in sectors such as energy, spa and health services, trade, and fertilizer production (including S.Z.N.F. SUPERFOSFAT S.A., Zespół Elektrociepłowni Poznańskich S.A., Południowy Koncern Energetyczny S.A., PGE Polska Grupa Energetyczna S.A., Uzdrowisko Lądek-Długopole S.A., Fabryka Elementów Złącznych S.A., and Textilimpex sp. z o.o.). She has repeatedly served as Chairperson of Supervisory Boards.

  • Ms Prus possesses extensive knowledge and experience in corporate governance, covering both the legal and practical aspects of the operation of commercial-law companies.
